Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Nancy Morgan Wound Care clinical intelligence platform ("Platform") provided by Nancy Morgan Wound Care ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Eligibility and Account Registration

The Platform is designed for use by licensed healthcare professionals, wound care consultants, and billing professionals. By registering for an account, you represent that:

• You are a healthcare professional or authorized representative of a healthcare organization
• You are at least 18 years of age
• The information you provide during registration is accurate and complete
• You will maintain the security of your account credentials
• You will notify us immediately of any unauthorized use of your account

2. Platform Services

The Platform provides the following services depending on your subscription tier:

• Clinical Chat Interface: AI-assisted clinical queries with citations from wound care references, compliance rules, and documentation standards
• Live Transcription: Real-time speech-to-text conversion with documentation template mapping and coding suggestions
• Image Annotation: Wound image upload, measurement, auto-annotation, and progress tracking

3. Clinical Decision-Support Disclaimer

The Platform is intended to assist healthcare professionals with documentation, reference lookup, and clinical workflow efficiency. It is expressly not intended to:

• Replace professional medical judgment or clinical decision-making
• Provide medical diagnoses or treatment recommendations
• Serve as the sole basis for any clinical, billing, or compliance decision

All information provided by the Platform should be independently verified by the user. AI-generated responses may contain errors. You are responsible for reviewing and validating all outputs before use in clinical or billing contexts.

4. Acceptable Use

You agree to use the Platform only for its intended professional purposes. You shall not:

• Use the Platform for any unlawful purpose
• Attempt to gain unauthorized access to other users' accounts or data
• Upload malicious content, viruses, or harmful code
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform to generate content that is fraudulent, misleading, or harmful
• Share your account credentials with unauthorized individuals
• Use the Platform in a manner that violates HIPAA or other applicable healthcare regulations
• Exceed any usage limits associated with your subscription tier

5. Subscription and Payment

• Subscriptions are billed monthly or annually, as selected at the time of purchase
• Prices are subject to change with 30 days' prior notice
• You may upgrade your subscription tier at any time; billing is prorated
• Downgrade requests take effect at the end of the current billing period
• Refunds are not provided for partial billing periods, except as required by law

6. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

• You retain access to the Platform through the end of your current billing period
• Your data (chat history, uploaded documents, images) is retained for 90 days after account closure
• After the 90-day retention period, all data is permanently deleted
• You may request an export of your data before account closure

7. Intellectual Property

• The Platform, including its software, design, documentation, and knowledge base content, is owned by Nancy Morgan Wound Care and protected by intellectual property laws
• Your subscription grants you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose
• Content you upload (documents, images, audio) remains your property. You grant us a limited license to process this content solely to provide the Platform services
• AI-generated outputs (chat responses, annotations, transcriptions) may be used by you for your professional purposes without restriction

8. Data Protection

Our collection and use of your information is governed by our Privacy Policy. By using the Platform, you acknowledge and agree to the practices described therein.

If your use of the Platform involves Protected Health Information (PHI), a Business Associate Agreement (BAA) must be executed between your organization and Nancy Morgan Wound Care before PHI is stored on the Platform.

9. Service Availability

• We aim for 99.9% uptime but do not guarantee uninterrupted access
• Scheduled maintenance will be communicated in advance when possible
• We are not liable for service interruptions caused by factors outside our reasonable control
• We reserve the right to modify, suspend, or discontinue features with reasonable notice

10. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided "as is" without warranties of any kind, express or implied
• We do not warrant that AI-generated outputs will be error-free, complete, or suitable for any particular clinical purpose
• Our total liability for any claims arising from your use of the Platform shall not exceed the fees you paid in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for clinical outcomes or decisions made based on Platform outputs

11. Indemnification

You agree to indemnify and hold harmless Nancy Morgan Wound Care, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content you upload to the Platform
• Any clinical decisions made in reliance on Platform outputs

12. Modifications to Terms

We may revise these Terms at any time. Material changes will be communicated via email or through the Platform at least 30 days before taking effect. Your continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and cancel your subscription.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
